The period for exercising warrants of series 2020\/21 (“Warrants”) for subscription of shares in Heliospectra AB (publ) (“Heliospectra” or “the Company”) ended on November 30, 2021. A total of 62 098 warrants were exercised for 31 049 shares, implying a subscription rate of approximately 0.15 percent.<\/strong><\/div>\n

Two (2) Warrants entitled subscription of one (1) new share in the Company against cash payment of SEK 3.1 per share during the period 1 November 2021 through 30 November 2021. The Company announces today that 62 098 options have been exercised for new subscription of 31 049 shares, implying a subscription rate of approximately 0.15 percent. The Company will thus receive approximately SEK 96 thousand before issue costs.<\/span><\/span><\/span><\/span><\/p>\n

Number of shares, share capital and dilution<\/span><\/span><\/span><\/span><\/span><\/span><\/h2>\n

After registration of the new shares with the Swedish Companies Registration Office (Bolagsverket), the Company’s share capital will increase by SEK 3 104.9 to a total of SEK 7 727 651.4. The number of shares in the Company will increase by 31 049 shares to a total of 77 276 514 shares.<\/span><\/span><\/span><\/span><\/p>\n

The dilution for existing shareholders who have not exercised the Warrants amounts to approximately 0.04 percent of the shares and votes in Heliospectra.<\/span><\/span><\/span><\/span><\/p>\n

Delivery of new shares<\/span><\/span><\/span><\/span><\/span><\/span><\/h2>\n

The new shares will be delivered to the subscribers’ account as interim shares. Immediately after the issue has been registered with the Swedish Companies Registration Office and Euroclear and interim shares have been converted into ordinary shares, the new shares will be admitted to trading on the Nasdaq First North Growth Market.<\/span><\/span><\/span><\/span><\/p>\n
